Docketing Statement: How to complete a New Entity DS

Avoiding common problems when completing Docketing Statements (Title 15, Sec. 134)

New Entity Docketing Statements:

1) Make sure that the name on the DS matches exactly the name on the companion filing, i.e. the Articles or Certificate etc...
2) Be sure to put a human's name in Block 2. The address here CAN be a PO box unlike on the companion filing form where a physical address is required.
3) MOST PROBLEMATIC... Be sure to supply a brief but specific description of the business that the entity will conduct in PA. The old General Purpose language is of no use here as this paragraph does not constitute a part of the Articles of Incorporation or the Certificate of Organization. We have been told by Revenue that this description is for classification purposes. ALSO, if you set forth a "professional" activity in this block but are not filing a "Professional" companion filing form, the Bureau should reject the document. You will either need to change that activity statement or make your filing a Professional PC or LLC.

The remaining paragraphs do NOT need to be completed but should be if:
1) You chose an effective date on the companion filing form;
2) You want to specify a fiscal year end;
3) If you are registering or qualifying a foreign company then you may want to advise Revenue of their EIN.

Block 7 is for a very specific purpose... namely if a foreign corporation is qualifying in PA and they can not do so using their actual name because another company already has that name for use in PA, then they must select a fictitious name. In that case, the fictitious name is typed in this block.
